Terms of Use – Sellers & Vendors


These Terms of Use apply to all vendors, merchants, suppliers, and businesses (“you”, “seller”) who list, sell, or distribute products through ShopSquare (www.shopsquare.co.tz).

By registering as a Seller on ShopSquare, you confirm that you have read, understood, and agreed to comply with these Terms.


1. Eligibility

To sell on ShopSquare, you must:

         - Be a registered business or an individual with a valid national ID.

         - Provide accurate business details, contact information, and bank/mobile money payout information.

         - Agree to all policies including:

Product Listing Guidelines

                        - Payment & Commission Policy

                        - Returns & Refund Policy

                        - Trust & Safety Policy

ShopSquare reserves the right to approve, reject, or deactivate any seller.


2. Seller Account Responsibilities

As a registered Seller, you agree to:

         - Maintain accurate and updated account information.

         - Protect your login credentials.

         - Ensure all staff using the account follow ShopSquare policies.

         - Respond to customer messages, queries, and complaints professionally and on time.

You are responsible for all actions performed through your Seller Account.


3. Product Listings

Sellers must ensure that all listed products are:

         - Accurately described (name, features, specifications, images).

         - Authentic and original (no counterfeit or copied goods).

         - Legally allowed in Tanzania.

         - Properly categorized with correct attributes (size, color, brand, etc.).

         - In-stock and available at the time of purchase.

Prohibited listings include:

         - Counterfeit products

         - Illegal or stolen goods

         - Expired, unsafe, or unregistered items (e.g., medicines, food products not approved by TFDA)

         - Anything violating Tanzanian law

ShopSquare may remove or revise any listing that violates standards.


4. Pricing & Promotions

          - Sellers must set fair, competitive, and transparent prices.

          - Prices must include all charges except delivery (where applicable).

         - Sellers cannot misrepresent pricing (e.g., fake discounts).

         - Participating in promotions is voluntary but must follow ShopSquare rules.

ShopSquare may adjust or remove misleading pricing.


5. Order Fulfillment

Sellers agree to:

         - Ship or prepare orders within the promised timeframe.

         - Use accurate packaging, product quality checks, and secure wrapping.

         - Avoid canceling confirmed orders except for unavoidable reasons.

         - Process returns promptly when required.

Late fulfillment or frequent cancellations may lead to penalties or account suspension.


6. Product Authenticity & Quality Standards

Sellers must ensure:

         - All products are genuine, new, and meet quality standards.

         - No refurbished or used items are sold unless explicitly allowed and clearly labelled.

         - Food products, cosmetics, and consumables follow Tanzanian safety regulations.

ShopSquare has zero tolerance for counterfeit products.


7. Returns, Refunds & Customer Satisfaction

         - Sellers must comply with ShopSquare’s Return & Refund Policy.

         - Returned items must be inspected within the required period.

         - Refunds for approved cases must be processed promptly.

     - Sellers are responsible for defective, damaged, counterfeit, or misrepresented items.

Frequent return issues may affect seller performance rating.


8. Payments & Commissions

         - ShopSquare charges a service fee/commission per sale (percentage varies by category).

         - Payments are made to the Seller via Mobile Money or Bank as per payout schedule.

         - Deductions may include:

                        - Commission

                       - Return/refund adjustments

                      - Penalties (if applicable)

         - ShopSquare may temporarily hold payments pending investigation of disputes or fraud.


9. Shipping Models

Depending on the agreement, a Seller may use:
a) ShopSquare-Managed Delivery

         - Seller prepares the order; ShopSquare handles delivery.

b) Seller Self-Delivery

         - Seller is fully responsible for delivering to the customer.

         - Must provide proof of delivery when required.


10. Prohibited Seller Activities

Sellers may not:

         - Sell counterfeit/illegal products

         - Manipulate reviews or ratings

         - Divert customers outside the ShopSquare platform

         - Create multiple fake accounts

         - Misuse platform communication tools

         - Abuse offers, promotions, or reward systems

         - Harass customers or staff

Violations may result in:

         - Order reversal

         - Penalties

         - Suspension or permanent ban

         - Legal action where necessary


11. Intellectual Property

         - Sellers may only upload images, logos, and content they own or have rights to use.

         - ShopSquare may use uploaded content for marketing unless a seller opts out in writing.


12. Seller Performance Monitoring

ShopSquare continuously monitors:

         - Order fulfilment rate

         - Cancellation rate

         - Return rate

         - Customer complaints

         - Product quality issues

         - Responsiveness

Poor performance may lead to penalties, visibility reduction, or suspension.


13. Data Protection & Confidentiality

         - Sellers must handle customer data responsibly and only for fulfilling orders.

         - Sharing customer information with third parties is strictly prohibited.

         - All data is processed following ShopSquare’s Privacy Policy.


14. Indemnity

The Seller agrees to indemnify ShopSquare against all claims, damages, and losses resulting from:

         - Product issues (defects, safety, expiration)

         - Fraudulent activities

         - Intellectual property violations

         - Legal non-compliance


15. Modifications to Seller Terms

ShopSquare may amend these Terms at any time. Updates will be communicated through email or Seller Dashboard.

Continued use of the platform means acceptance of the updated Terms.


16. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania.
